Standard Business Terms.
The following Standard Business Terms shall be applicable to all our courses, individual and group instruction and other training programs or education services (hereinafter collectively referred to as courses). The present course conditions shall also be applicable to all future courses contracts between ourselves and our client. The application of the client’s diverging Terms and Conditions to the contrary is excluded unless we expressly agreed to their validity in writing.
Our offer is non-binding. You should register not later than 4 weeks prior to the beginning of the course. We will then send you a written confirmation of your registration. This confirmation will be equivalent to a contract.
The tuition fee shall be paid immediately after receipt of our invoice, but not later than 14 days after the date of the invoice. All payments shall be made to the address specified on our invoice, or the account details indicated there.
We hope you understand that we must claim the following tuition fees in the event of short-term cancellations: 50% of the tuition fees will be charged upon cancellation not later than 14 days prior to the beginning of the course, 80% of the tuition fees upon cancellation 13 – 7 days prior to the beginning, and the full fees thereafter. In the event of subsequent cancellation or non-participation in a course, our entitlement to the full tuition fee shall not be affected. We will accept an assignment of the right to participate in the course booked if the name and address of the substitute participant are provided to us timely in advance.
Modification and cancellation of courses by SinaLingua
We reserve the right to adjust the courses and the structure of their contents and time schedule to the individual conditions of the respective course. Please also understand that we reserve the right to postpone or cancel the courses offered if the number of participants is too low, if the course instructor is prevented at short term, or if other important reasons are present. In any case, we will make all efforts to inform you timely in advance of a cancellation or the need to make changes. If we have to cancel a course, the tuition fee paid will be immediately returned to you. The same shall be applicable if a course is to be postponed, and if you or your employees are unable to participate on the substitute date.
Any other claims shall be excluded, with the exception of intentional or grossly negligent acts on the part of SinaLingua. Of course, we will use our best efforts to make up for the unavailability of an instructor, even at short notice, by hiring an equivalent instructor. This is also the reason why we should like to emphasize that you are not entitled to a certain instructor for a specific course. The same applies to individual courses (e.g. private instruction).
The course documents of SinaLingua are copyright-protected and shall not be copied, in whole or in part, without the approval of SinaLingua.
Exclusion of individual participants
In order to ensure a proper atmosphere at the courses, any participant who has significantly violated his/her contractual obligations or disturbed the course of the course in an inappropriate manner may be excluded from participating in the course, in whole or in part. In this case, the tuition fees shall not be reimbursed unless we have saved expenses by excluding the participant.
Written form, choice of forum
All agreements between our clients and ourselves shall be made in writing. The courts having jurisdiction for the registered office of SinaLingua shall be the proper venue for all disputes resulting from or relating to the course contract, if the client is a qualified merchant, a legal entity under public law or a special fund under public law, if it has no general domestic venue or if the client’s usual residence is unknown at the time the claim is filed.
